BOSS HQ — END USER LICENSE AND TERMS OF USE
================================================================================
⚠ THIS IS A DRAFT. It has not been reviewed by a lawyer. Do not rely on it
to protect you. Have a solicitor or attorney qualified in your state
review and adapt it before you sell a single license — particularly the
limitation of liability, the warranty disclaimer and the data protection
sections, which are the ones that decide what happens when something
goes wrong.
Replace this whole file with their version. Keep the "Version:" line at
the top — the software reads it, and bumping it asks everyone to accept
the new wording.
--------------------------------------------------------------------------------
1. WHO THIS IS BETWEEN
--------------------------------------------------------------------------------
"We", "us" and "the Licensor" means Dcypher-IT LLC.
"You" and "the Customer" means the business that has licensed BOSS HQ, and
every person who signs in to it on that business's behalf.
"the Software" means BOSS HQ, including its source code, database structure,
documentation and any updates supplied to you.
By signing in and accepting these terms you agree to them. If you are
accepting on behalf of a business, you confirm you are authorized to do so.
--------------------------------------------------------------------------------
2. OWNERSHIP AND COPYRIGHT
--------------------------------------------------------------------------------
The Software is licensed to you, not sold. Dcypher-IT LLC owns all
copyright, database rights, trade marks and other intellectual property in it,
and keeps every right not expressly granted here.
You may not:
(a) copy the Software except as needed to run and back it up;
(b) sell, rent, sublicense, lend or host it for anyone other than your own
business, unless we have agreed that in writing;
(c) reverse engineer, decompile or disassemble it, except where the law
expressly permits that and only to the extent it does;
(d) remove or obscure any copyright or ownership notice;
(e) use it to build a competing product.
Your own data is YOUR data. We claim no ownership of the records you enter,
the documents you upload, or the reports you produce. Nothing in this
agreement gives us the right to sell, share or mine it.
--------------------------------------------------------------------------------
3. WHAT YOU MAY DO
--------------------------------------------------------------------------------
Subject to paying the fees due and keeping to these terms, we grant you a
non-exclusive, non-transferable license to use the Software for your own
business operations, for the number of companies and users stated on your
license key or invoice.
HOSTED — we run it for you and keep it patched and backed up.
ON-PREMISES — you run it on your own hardware. Keeping that server patched,
secured and backed up is yours to do; section 7 explains why that matters.
--------------------------------------------------------------------------------
4. TRIAL AND EXPIRY
--------------------------------------------------------------------------------
A trial runs for the period shown when you install. When a trial or license
ends the Software becomes READ-ONLY: you can still read, print, export and
archive everything in it, and you cannot enter new work until the license is
renewed.
We will not withhold your records over an unpaid invoice. The export and
archive functions stay available whatever the state of your license.
--------------------------------------------------------------------------------
5. FEES
--------------------------------------------------------------------------------
Fees, the billing period and what a renewal costs are as stated on your order
or invoice. Fees are payable in advance and are non-refundable except where
the law requires otherwise. We will give you at least 30 days' notice in
writing before changing the price at a renewal.
--------------------------------------------------------------------------------
6. YOUR DATA, PRIVACY AND BACKUPS
--------------------------------------------------------------------------------
Where we host the Software we will:
(a) keep your data only to run the service for you;
(b) take reasonable technical and organizational measures to protect it;
(c) give it back to you on request in a documented, open format;
(d) delete it within 30 days of your written request, subject to any law
that requires us to keep it longer.
Where you host the Software yourself, all of the above is yours to do.
BACKUPS. The Software can take backups and archives automatically, and we
strongly recommend switching that on and sending them somewhere that is not
the same machine. YOU remain responsible for keeping a usable copy of your
own records. A backup nobody has ever restored is not a backup.
--------------------------------------------------------------------------------
7. WHAT WE DO NOT PROMISE
--------------------------------------------------------------------------------
The Software is provided "as is". To the fullest extent the law allows, we
disclaim all implied warranties, including fitness for a particular purpose
and merchantability.
IT IS NOT PROFESSIONAL ADVICE. BOSS HQ keeps books, produces reports and
performs calculations. It is not an accountant, a tax adviser, a lawyer or a
payroll bureau, and nothing it produces is a substitute for one. You are
responsible for the accuracy of what you enter and for having your figures,
filings and returns checked by somebody qualified before you rely on them.
We do not warrant that it will be uninterrupted or error-free.
--------------------------------------------------------------------------------
8. LIMITATION OF LIABILITY
--------------------------------------------------------------------------------
Nothing here limits liability for death or personal injury caused by
negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that, and to the fullest extent the law allows:
(a) we are not liable for lost profits, lost revenue, lost or corrupted
data, business interruption, or any indirect or consequential loss;
(b) our total liability arising out of or in connection with this agreement
is limited to the fees you paid us in the 12 months before the claim.
You accept that this allocation of risk is reflected in the price.
--------------------------------------------------------------------------------
9. SUPPORT
--------------------------------------------------------------------------------
Support is provided as described in your order. Tickets raised inside the
Software carry technical details about your installation — version, license,
the page you were on and basic health checks — and a snapshot of what that
screen was doing when the ticket was raised: the last errors the browser
recorded, the last requests it made, the pages visited in that session, the
visible text of the screen and of any open dialog, and the browser and window
size. The visible text can include names and figures that were on the screen.
The person opening the ticket is told this before sending. Tickets never carry
your documents, your database, passwords or card numbers.
--------------------------------------------------------------------------------
10. ENDING IT
--------------------------------------------------------------------------------
Either of us may end this agreement at the end of a billing period by giving
written notice. We may suspend or end it immediately if you breach it
materially and do not put it right within 14 days of being asked.
When it ends you must stop using the Software and remove it from your
systems. Before that, and for at least 30 days afterwards where we host it,
you may export and archive all of your data.
--------------------------------------------------------------------------------
11. GENERAL
--------------------------------------------------------------------------------
This agreement is the whole agreement between us about the Software. If any
part of it is unenforceable the rest stands. A delay in enforcing something
is not a waiver of it.
Governing law and jurisdiction: [STATE / COUNTRY — YOUR LAWYER FILLS THIS IN].

--------------------------------------------------------------------------------
12. HOSTED EDITION
--------------------------------------------------------------------------------
Where we host the Software for you ("the hosted edition"):
(a) your installation runs on servers we rent from a hosting provider in the
region stated on your plan, with one database per customer;
(b) we aim for the Software to be available at all times but do not
guarantee it; a public status page shows its state, and we post notices
there when something is degraded;
(c) backups are taken on a schedule, the newest copy is restored on a
scratch database every month to prove it restores, and you may also send
sealed copies to storage you control — which we recommend;
(d) fees are billed in advance by card through our payment provider; if a
payment fails we tell you and, after the grace period stated on your
plan, may suspend the installation until it is paid, keeping your data
for the period in section 6;
(e) our staff may view your installation read-only to help you, with your
permission, and every such session is recorded in your audit log;
(f) the Privacy Policy and the Data Processing Addendum apply to the
personal information we hold for you.
--------------------------------------------------------------------------------
13. DOCUMENTS THAT FORM PART OF THESE TERMS
--------------------------------------------------------------------------------
The following are incorporated into these terms and are available at any time
at /legal on your installation:
- the Privacy Policy;
- the Data Processing Addendum (for customers who need one);
- the Legal Practice Module Professional Responsibility Notice, which
applies to every firm that uses that module: the Software is a
record-keeping tool and the lawyer remains responsible for compliance
with the rules of professional conduct, including trust accounting.
If a document conflicts with these terms, these terms prevail, except that
the Data Processing Addendum prevails for the processing of personal
information.
